Service terms
Engagements with Leon Marketing LLC are governed by a written Statement of Work (SOW) signed by both parties. These Terms apply where the SOW is silent.
Payment terms
Retainers are invoiced monthly, in advance. Project fees are invoiced 50% on signature, 50% on delivery. Net 14 unless otherwise stated. Late payments accrue interest at 1.5% per month.
Intellectual property
On full payment, deliverables produced specifically for the client become the client's property. Pre-existing tools, frameworks and methodologies remain the property of Leon Marketing LLC and are licensed for the client's internal use.
Limitation of liability
To the maximum extent permitted by law, Leon Marketing LLC's total liability under any engagement is limited to fees paid in the three months preceding the claim. We are not liable for indirect, incidental or consequential damages.
Cancellation policy
Either party may terminate a retainer on 30 days' written notice. Project engagements may be cancelled at any time; fees for work completed remain due.
Dispute resolution
Disputes shall first be addressed through good-faith negotiation. Failing resolution within 30 days, disputes shall be submitted to binding arbitration in New York, NY under the rules of the American Arbitration Association.
